1. Purpose of Agreement

This Agreement provides the Licensee with a non-exclusive, non-transferable license to access and use the Platform for the purpose of selling, promoting, and purchasing products or services through Newimetanic.com. The Platform serves as an intermediary between multiple vendors and customers and does not assume responsibility for the content, quality, or legality of the products or services listed by vendors.

By accessing or using the Platform, the Licensee agrees to comply with the terms and conditions of this Agreement, as well as any other applicable rules or policies established by Newimetanic.com.

2. Definitions

• Licensor: Newimetanic.com, the entity providing the platform for online multivendor transactions.
• Licensee: Any registered user, vendor, or seller who is authorized to use the Platform for listing and selling their products or services.
• Platform: The Newimetanic.com website and any associated mobile applications that provide the online marketplace for vendors and customers.
• Vendor: Any individual or entity who uses the Platform to list and sell products or services.
• End User: A customer who purchases products or services through the Platform.
• Transaction: The purchase and sale of products or services facilitated through the Platform.

3. Grant of License

The Licensor grants the Licensee a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform in accordance with the terms and conditions of this Agreement. The Licensee is granted permission to:

• List and sell products or services on the Platform.
• Access and use the tools, features, and resources available on the Platform to manage their listings and transactions.
• Engage in transactions with customers (End Users) through the Platform.

This license is granted solely for the purpose of facilitating online sales and interactions on the Platform and does not permit the Licensee to use the Platform for any unlawful or unauthorized purpose.

4. Vendor Registration and Responsibilities

To use the Platform as a vendor, the Licensee must complete the vendor registration process, which includes providing accurate and up-to-date information about their business, products, and services. The Licensee agrees to maintain the accuracy of this information and update it as necessary.

Once registered, the Licensee will be responsible for the following:

• Product Listings: The Licensee is responsible for providing accurate descriptions, pricing, and images for the products or services they wish to list on the Platform. All listings must comply with applicable laws and regulations, including but not limited to intellectual property, consumer protection, and e-commerce regulations.
• Order Fulfillment: The Licensee is responsible for ensuring that orders are fulfilled in a timely and professional manner. This includes shipping, handling, and delivering the products to the customer in accordance with the terms set forth by Newimetanic.com.
• Customer Service: The Licensee must provide adequate customer service for their products or services, including addressing complaints, returns, and refunds in a timely manner.
• Compliance: The Licensee agrees to comply with all applicable laws, rules, and regulations governing e-commerce transactions, including those specific to Qatar, as well as the policies set forth by Newimetanic.com.

5. User Account Security

The Licensee is responsible for maintaining the confidentiality of their account credentials, including their username and password, and for any activity that occurs under their account. The Licensee must notify Newimetanic.com immediately if they suspect any unauthorized use of their account.

Newimetanic.com reserves the right to suspend or terminate the Licensee’s account in the event of any suspected breach of security or fraudulent activity.

6. Fees and Payments

• Fees: The Platform may charge fees to vendors for using its services, including but not limited to listing fees, transaction fees, and other fees associated with the use of the Platform. These fees will be clearly outlined in the Platform’s fee schedule, which may be updated from time to time. By accepting this Agreement, the Licensee agrees to pay the applicable fees as outlined by Newimetanic.com.
• Payment Processing: Newimetanic.com will facilitate the processing of payments for transactions conducted through the Platform. Payments made by End Users will be transferred to the Licensee after the completion of the transaction, minus any applicable fees.
• Currency: All fees and transactions on the Platform will be conducted in the currency specified by Newimetanic.com, which may be subject to exchange rate fluctuations.
• Taxation: The Licensee is responsible for paying any applicable taxes on their sales and earnings, including sales tax, VAT, or other taxes required by law. Newimetanic.com may provide the Licensee with documentation regarding the tax obligations related to their sales.

7. Intellectual Property Rights

• Licensor’s Intellectual Property: Newimetanic.com retains all rights, title, and interest in the intellectual property related to the Platform, including but not limited to its design, software, and content. The Licensee is granted a limited license to use the Platform only as permitted by this Agreement.
• Vendor’s Intellectual Property: The Licensee retains ownership of the intellectual property rights in their own products, listings, and content. By uploading content to the Platform, the Licensee grants Newimetanic.com a non-exclusive, royalty-free, worldwide license to use, display, and distribute their content in connection with the operation of the Platform.
• Prohibited Content: The Licensee is prohibited from listing any content that infringes upon the intellectual property rights of others. This includes copyrighted materials, trademarks, patents, or other proprietary content that the Licensee does not have the right to use.

8. Term and Termination

• Term: This Agreement is effective as of the date the Licensee accepts it and will remain in effect until terminated by either party.
• Termination by Licensor: Newimetanic.com may terminate or suspend the Licensee’s access to the Platform at any time for any reason, including but not limited to a violation of this Agreement, fraudulent activity, or failure to pay applicable fees.
• Termination by Licensee: The Licensee may terminate this Agreement at any time by providing written notice to Newimetanic.com. Upon termination, the Licensee must cease using the Platform and remove any listings and content.
• Consequences of Termination: Upon termination of this Agreement, the Licensee’s access to the Platform will be revoked, and any pending transactions must be completed. The Licensee will remain responsible for any outstanding fees or obligations incurred prior to termination.

9. Limitation of Liability

Newimetanic.com will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Platform, including but not limited to lost profits, data loss, or business interruption. The Licensor’s liability is limited to the amount of fees paid by the Licensee in the six (6) months preceding the event giving rise to the claim.

10. Indemnification

The Licensee agrees to indemnify and hold Newimetanic.com harmless from any claims, damages, liabilities, or expenses arising out of the Licensee’s use of the Platform, including but not limited to claims related to product listings, intellectual property infringement, consumer protection violations, or breach of this Agreement.

11. Dispute Resolution

Any disputes arising out of or relating to this Agreement will be resolved through binding arbitration in Qatar. The arbitration will be conducted in accordance with the rules of the Qatar International Court and Dispute Resolution Centre (QICDRC). Both parties agree to waive their right to a trial by jury or court and to submit to the arbitration process.

12. Governing Law

This Agreement will be governed by and construed in accordance with the laws of Qatar. Any legal action related to this Agreement will be conducted in the courts of Qatar.

13. Miscellaneous

• Amendments: Newimetanic.com reserves the right to modify this Agreement at any time. Any changes will be communicated to the Licensee, and the Licensee’s continued use of the Platform constitutes acceptance of the modified terms.
• Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Assignment: The Licensee may not assign or transfer their rights and obligations under this Agreement without the prior written consent of Newimetanic.com.
